Every KHOLEY song belongs to KHOLEY.

All songs, recordings and soundscapes created by KHOLEY are the sole property of KHOLEY. There are no co-writers and no co-owners on any song, including custom and commissioned songs.

Using a KHOLEY song online, in film, TV, radio, print, ads or any other media requires a written contract with KHOLEY. Unlicensed use is copyright and trademark infringement and may lead to civil action, statutory damages, attorneys' fees and criminal referral where the law allows.

Parties

This Music License Agreement (the "Agreement") is made between KHOLEY, a creator, author and business owner with its principal place of business in Beverly Hills, California ("KHOLEY" or "Licensor"), and the person or entity signing below ("Licensee"). The Agreement is effective on the date Licensee signs it electronically (the "Effective Date").

1. Sole and Exclusive Ownership

Every song, musical composition, sound recording, master, lyric, melody, beat, stem, soundscape, frequency track, signature song, jingle and any other audio work created, produced or delivered by KHOLEY, including any work made at Licensee's request or with Licensee's ideas, feedback, name, voice or payment (each a "Work"), is and shall remain the sole and exclusive property of KHOLEY. KHOLEY owns 100% of all rights, title and interest in every Work worldwide, including all copyrights in the composition and the sound recording, publishing, master, neighboring, performance, mechanical, synchronization and moral rights, and all renewals and extensions.

2. No Co-Writers, No Co-Owners, No Work for Hire

No Work is a "work made for hire" for Licensee. Licensee is not, and shall never claim to be, an author, co-writer, co-producer, co-owner or joint author of any Work under 17 U.S.C. sections 101 and 201 or any other law. Paying a fee, commissioning a Work, suggesting lyrics, titles or ideas, or appearing in content with a Work does not transfer or create any ownership, credit, royalty or publishing share. Nothing in this Agreement is an assignment or sale of any right.

3. Limited License: Online Streaming Only

Subject to full compliance with this Agreement, KHOLEY grants Licensee a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to stream the licensed Work online solely as background or theme audio within Licensee's own organic posts on the social media accounts and websites listed in this Agreement. The license covers online streaming only. No ownership passes to Licensee at any time.

4. Uses That Require a Separate Signed Written Contract

Without a separate written contract signed by KHOLEY, Licensee shall not: (a) use any Work in film, television, streaming series, radio, theatrical, broadcast, cable or satellite media; (b) use any Work in print, books, publications, merchandise, products or packaging; (c) use any Work in paid advertising, sponsored or branded content for third parties, commercials or political content; (d) sell, download-distribute, upload or register any Work with Spotify, Apple Music, YouTube Content ID, SoundCloud, any distributor, publisher, performing-rights organization or content identification system; (e) remix, edit beyond simple trimming, sample, re-record, cover, translate or create derivative works; (f) use any Work to train, prompt or build any artificial-intelligence or machine-learning system; (g) perform any Work publicly at live events or venues; or (h) sublicense, transfer or allow any other person to use any Work.

5. Credit

Where the platform allows, Licensee shall credit "Music by KHOLEY" on each post using a Work. Licensee shall not remove or alter any copyright notice, watermark or metadata.

6. Trademarks, Name and Likeness

KHOLEY, the KHOLEY name, logos, the Kholey Frequency Lab and related marks are trademarks of KHOLEY, including a trademark registration with the State of Arizona. Licensee receives no right to use any KHOLEY trademark, name, voice, image or likeness except the credit in Section 5. Unauthorized use may violate the federal Lanham Act (15 U.S.C. sections 1114 and 1125), Arizona trademark law (A.R.S. sections 44-1451 and 44-1448.01), California trademark and unfair competition law (Cal. Bus. & Prof. Code sections 14200 et seq. and 17200 et seq.), and California's right of publicity (Cal. Civ. Code section 3344).

7. Infringement and Remedies

Any use of a Work outside this Agreement, after termination, or without a license is copyright infringement under the U.S. Copyright Act (17 U.S.C. sections 106 and 501), and may also be trademark infringement, unfair competition and misappropriation under federal, Arizona and California law. KHOLEY may seek every available remedy, including injunctions, takedowns, actual damages and profits, statutory damages of up to $150,000 per work for willful infringement (17 U.S.C. section 504), impoundment and destruction (17 U.S.C. section 503), attorneys' fees and costs (17 U.S.C. section 505), and referral for criminal prosecution where the law allows (17 U.S.C. section 506 and 18 U.S.C. section 2319). Licensee agrees that unauthorized use causes KHOLEY irreparable harm for which money alone is not enough.

8. Term and Termination

This license lasts while Licensee complies with this Agreement, unless KHOLEY states a shorter term in writing. KHOLEY may terminate the license immediately by email for any breach. On termination, Licensee shall remove every post and copy that uses a Work within 48 hours and confirm removal in writing. Sections 1, 2, 4, 6, 7, 9, 10 and 11 survive termination.

9. Indemnity

Licensee shall defend, indemnify and hold KHOLEY harmless from all claims, losses, damages, fees and costs (including attorneys' fees) arising from Licensee's content, Licensee's breach of this Agreement, or any use of a Work not expressly permitted here.

10. Governing Law and Venue

This Agreement is governed by U.S. federal law and, at KHOLEY's election, the laws of the State of California or the State of Arizona, without regard to conflict-of-law rules. Licensee consents to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, or Maricopa County, Arizona, as KHOLEY chooses. The prevailing party in any action to enforce this Agreement shall recover reasonable attorneys' fees and costs.

11. Electronic Signature and Entire Agreement

Licensee agrees that typing their full legal name and checking the acceptance box is a valid electronic signature with the same force as a handwritten signature under the federal E-SIGN Act (15 U.S.C. section 7001 et seq.), the California Uniform Electronic Transactions Act (Cal. Civ. Code section 1633.1 et seq.) and the Arizona Electronic Transactions Act (A.R.S. section 44-7001 et seq.). This Agreement, together with any separate written contract signed by KHOLEY, is the entire agreement about its subject. It may be changed only in a writing signed by KHOLEY. If any part is found unenforceable, the rest remains in full effect, and the unenforceable part shall be enforced to the maximum extent allowed.
